Terms of Service
Last updated: 5 November 2026
This document is available in English and Spanish. In case of any discrepancy between the two versions, the Spanish version prevails.
1. The agreement
These Terms of Service are an agreement between Miranda Network, S.L. (CIF B-75866194, "we", "us"), the company behind NoHold Checkout, and the business that creates an account ("you", the "merchant"). You accept them when you tick the box at signup. The Data Processing Addendum forms part of these Terms. Our company details are in the Legal notice.
NoHold Checkout is a service for businesses. By creating an account you confirm that you act for a business or professional purpose, not as a consumer, and that you are authorised to bind that business.
2. The service
NoHold Checkout gives your Shopify store an alternative checkout hosted by us. Your shoppers pay through Whop into your own Whop account, and we create the paid orders in your Shopify store through your own Shopify custom app. Optional features include order bumps, post-purchase upsells, post-purchase surveys, shipment tracking sent to Whop, and purchase events sent to your Meta, TikTok and Google accounts.
We may improve and change the service. If a change significantly reduces what you pay for, we will tell you by email in advance.
3. Your account and connections
- Give accurate information, keep your password secret and tell us at once if you suspect unauthorised access. You are responsible for activity in your account.
- You must own or be authorised to manage the Shopify store and the Whop account you connect.
- The Shopify custom app credentials and Whop API key you give us are stored encrypted and used only to run the service for your store. You can revoke them at any time in Shopify or Whop; the checkout will then stop working.
4. Your sales and your shoppers
We never receive or hold your sales. Shoppers pay Whop directly into your Whop account. Whop is the payment processor and, as stated in Whop's terms for buyers, the merchant of record. Payouts, holds, reserves, refunds, disputes and chargebacks are governed by your agreement with Whop.
You are responsible for your products, prices, shipping, customer service, refunds to shoppers, taxes, the information shown at your checkout and your store's policies, and for complying with the consumer, tax and advertising laws that apply to your sales.
5. Price and billing
- The price is $29 per month per store, plus 0.5% of each paid order processed through NoHold Checkout. An accepted post-purchase upsell is a paid order of its own.
- Prices are in US dollars and exclude applicable taxes.
- We bill through Stripe to the card you keep on file: the monthly fee in advance, and the 0.5% as metered usage. Orders in other currencies are converted to US dollars at that day's European Central Bank rate.
- We may change prices with at least 30 days' notice by email. If you don't agree, you can cancel before the change applies.
6. Failed payments
If a charge fails, you have a 7-day grace period while Stripe retries and you can update your card. After that, your checkout pauses and your store falls back to Shopify's checkout until the amount due is paid. Orders already paid are still created in Shopify.
7. Cancellation and refunds
- You can cancel at any time from the dashboard. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
- The 0.5% on orders already paid remains due.
- We do not refund past or partial periods, except where the law requires it.
- We may stop offering the service with at least 30 days' notice by email.
8. Shopify, Whop and other platforms
The service depends on platforms we don't control: Shopify, Whop, Stripe and, if you enable them, Meta, TikTok and Google. You must comply with their terms, and their decisions and changes to their systems can affect the service.
Plainly: Shopify's terms ask stores to use Shopify Checkout. With NoHold Checkout your store stays on Shopify but payment happens outside it, and Shopify could act on your store, for example by limiting, suspending or closing it. Whop reviews merchants and can decline, hold or reserve funds. Using NoHold Checkout is your decision and your risk.
9. Post-purchase upsells
If you enable one-click upsells, after a purchase the shopper may see an extra offer. The shopper's saved payment method is charged through Whop only after the shopper clicks to accept that offer. You must show each offer clearly, with its price, never present it as already accepted, and handle refunds for it like any other order.
10. Acceptable use
NoHold Checkout is for legitimate stores that ship what they sell. You must not use it to:
- sell products or services prohibited by Whop's or Shopify's rules or by law;
- commit fraud, take payment for goods you don't intend to deliver, or mislead shoppers;
- create subscriptions or recurring charges that shoppers have not clearly agreed to;
- attack, overload or try to break the security of the service, or access other merchants' data;
- resell or give access to the service to third parties without our written permission.
11. Personal data
For the data of your shoppers, you are the controller and we are your processor under the Data Processing Addendum. You are responsible for having a legal basis, informing your shoppers in your store's privacy policy, and for your cookie consent settings when you enable pixels. For your own account data we are the controller, as explained in the Privacy Policy.
12. Suspension and termination
We may suspend or close your account, with notice where reasonable, in case of fraud or abuse, a breach of these Terms, a risk to shoppers, to us or to third parties, unpaid amounts after the grace period, or when required by law or an authority. When your account ends, the checkout stops working and your store should use Shopify's checkout. Your data is then handled as described in the Privacy Policy and the Data Processing Addendum.
13. Intellectual property
The service and its software belong to Miranda Network, S.L. We give you a non-exclusive, non-transferable right to use it while your account is active. You keep all rights to your store content (products, images, logos and texts) and allow us to use it only to provide the service.
14. Warranty and liability
- The service is provided "as is" and "as available". We work to keep it running and secure, but we do not guarantee that it will be uninterrupted or error-free, or any particular result in sales or conversion.
- We are not liable for decisions or actions of Shopify, Whop, Stripe or advertising platforms, such as account closures, holds, reserves, declined payments or chargebacks, nor for lost profits, revenue, data or goodwill, or any indirect damage.
- Our total liability under these Terms is limited to the fees you paid us in the 12 months before the claim.
- These limits apply as far as the law allows. Nothing in these Terms limits liability that cannot be limited by law, such as liability for wilful misconduct or gross negligence.
- You will hold us harmless from claims by your shoppers or third parties arising from your products, your store or your breach of these Terms.
15. Changes to these Terms
We may update these Terms. We will notify you of material changes by email at least 30 days before they apply. If you keep using the service after that date, you accept the new Terms; if you don't agree, you can cancel before then.
16. Law, courts and notices
These Terms are governed by Spanish law. Any dispute will be submitted to the Courts and Tribunals of Granadilla de Abona (Spain), and both parties waive any other jurisdiction. We send notices to your account email; you can write to us at support@mirandanetwork.es. If any clause is found invalid, the rest remain in force.
